REGISTRATION REQUIREMENTS/ PROCESSES

For a person to register a company he has to engage the services of a legal Practitioner, this is in accordance to the Legal Practitioners Act of 1964, section 26 sub (10) c.

Firstly a unique company name has to be reserved in the register, this involves checking from our registers if the name is available and free for use. This is a process done over the counter at a charge fee of E20.00 (Twenty Emalangeni) payable at the revenue offices. The name shall be reserved for a period of three months. If the name chosen for the Company is free for registration, a reply in writing will be given whereupon the lawyer prepares the memorandums and articles of association which will be lodged with the offices of the Registrar of Companies. Such documents will include:

  • Memorandums and articles of association
  • Reservation Application letter and reply
  • Payment receipt for a company registration (depending on the nominal capital) Where nominal capital does not exceed E10.000 (E625.00)

does not exceed E 30.000(E925.00)
does not exceed E 50.000(E1300.00)
exceeds E50.000(E1825.00)

  • Payment receipt of E20.00 for the company name reservation
  • Form E (Notice of the Company registered office)
  • TF.42 (Application for annual company license form)
  • Directors tax clearance certificates
  • Directors Identity Documents or passports if they are non-Swazi
  • Declaration of Compliance


It will take a period of two weeks at most to register the company depending on the correctness and conformity of the lodged documents.

A Form J, a form for alterations of the members of the company will be lodged within 21days from the date of incorporation of the company, this will be the first Form J for the company.
The same process will apply to all three types of companies; Private company, Public company and None profit making companies.

All this will be prepared and submitted in accordance to the Companies Act no 8 of 2009. and any other business of the company and its file management with the Registrar of Companies shall be done in accordance with the relevant statute.
